TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of the HyperCoach platform and all related products and services provided by Spark Ventures Sdn Bhd (“Spark Ventures”, “HyperCoach”, “we”, “us”, or “our”), including our website, applications, and conversational AI systems (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms, along with our Privacy Policy. If you do not agree, you must not access or use our Services.

1. Overview of Our Services

HyperCoach is an AI-powered digital coaching platform developed to support leadership and personal growth for employees and organizations. The platform is used by individuals who may be employees or representatives of a tenant organization.

While our AI models are designed to enhance self-awareness and leadership development, the system may sometimes generate incomplete or inaccurate information. Users are encouraged to verify advice and not rely on AI responses as professional or medical advice.

2. User Eligibility and Registration

To use HyperCoach, you must:

  • Be at least 18 years of age.
  • Provide accurate and complete registration details.
  • Use your own account and credentials — accounts must not be shared.
  • Accept full responsibility for activity conducted through your account.

If accessing as an employee of a tenant organization, your access is granted under your employer’s subscription and may be subject to their internal policies.

3. Acceptable Use Policy

You agree to use the Services lawfully and ethically. You must not use HyperCoach to:

  • Engage in or promote unlawful activity under Malaysian law.
  • Generate or share harmful, abusive, discriminatory, or explicit content.
  • Disseminate false, misleading, or defamatory information.
  • Attempt to identify, extract, or misuse personal data of other users.
  • Bypass, disable, or interfere with security or moderation systems.
  • Reverse engineer, decompile, or obtain the source code or AI model.
  • Use automated systems (bots, scrapers, crawlers) to collect data.
  • Use the platform to impersonate any person or organization.

Violation may result in immediate suspension or termination, and where applicable, legal action.

4. Ownership and Use of Content

a. User Content

You retain ownership of your Content, but by using HyperCoach, you grant Spark Ventures a royalty-free, perpetual, irrevocable, and worldwide license to use your Content for:

  • Operating the Services (AI responses, data processing, storage, legal compliance).
  • Improving the Services (refining AI models, developing features, analyzing anonymized trends).
  • Ensuring safety and compliance with internal policies and applicable law.

b. Confidentiality of Conversations

Your coaching conversations are treated as confidential. HyperCoach will not share raw conversation data with employers or third parties. Any insights shared with organizations are aggregated, anonymized, and limited to general analytics.

5. Intellectual Property

All intellectual property in the Services — including AI models, designs, UI, logos, branding, and documentation — remains the sole property of Spark Ventures Sdn Bhd.

  • You are granted a limited, non-exclusive, non-transferable right to use the Services.
  • You may not copy, distribute, modify, or use the platform for other purposes.
  • If you provide feedback or suggestions, Spark Ventures may use them freely without obligation.

6. No Professional Advice or Warranties

HyperCoach supports learning, self-awareness, and leadership growth. However, you acknowledge that:

  • Information generated may not always be accurate or complete.
  • The Services do not provide medical, legal, psychological, or financial advice.
  • You are solely responsible for any decisions made based on the platform.

The Services are provided “as is” and “as available”. Spark Ventures disclaims all express or implied warranties.

7. Limitation of Liability

To the fullest extent permitted by Malaysian law, Spark Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Total liability shall not exceed the subscription fees paid in the twelve (12) months preceding the event giving rise to the claim.

8. Termination and Suspension

Spark Ventures may suspend or terminate access at any time if:

  • You breach these Terms or the Acceptable Use Policy.
  • Your organization’s subscription expires or is terminated.
  • We deem it necessary to protect the platform’s security or integrity.

You may request account deletion by contacting hello@hypercoach.asia. Upon termination, relevant clauses on confidentiality, IP, and liability continue to apply.

9. Third-Party Services

The Services may contain links or integrations with third-party platforms. HyperCoach is not responsible for the content, availability, or privacy practices of these third-party services. You use them at your own discretion.

10. Changes to the Services or Terms

We may update our Services and these Terms periodically. Updated Terms will be posted on our website and take effect upon publication. Continued use constitutes acceptance of revised Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malaysia. In the event of a dispute:

  • Parties shall first attempt to resolve amicably through negotiation.
  • If unresolved within 30 days, the dispute shall be referred to arbitration in Kuala Lumpur (AIAC).
  • Arbitration shall be conducted in English by a single arbitrator.

The decision of the arbitrator shall be final and binding.

12. Miscellaneous

  • Indemnity: You agree to indemnify and hold Spark Ventures harmless from claims arising from your misuse or breach of these Terms.
  • Assignment: You may not assign or transfer rights without prior written consent.
  • No Waiver: Failure to enforce any provision does not constitute a waiver of rights.
  • Severability: If any clause is found invalid, the remaining provisions remain enforceable.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Spark Ventures.
